Revitalization districts play an important role in building Arizona’s communities, funding roads, utilities, and water and sewer systems that support growth. However, gaps in current law have exposed contractors to serious financial risk when districts fail to make timely payments for completed construction work. HB 2496 offers a balanced, common-sense solution.

What Is a Revitalization District?

A revitalization district is a special taxing district created under Arizona law to finance public infrastructure improvements within a defined area. These districts are commonly used by cities and towns to support:

  • Roads and transportation infrastructure
  • Water and wastewater systems
  • Utilities necessary for new development

For Arizona’s construction industry, revitalization districts represent opportunity by creating jobs, supporting economic development, and helping communities grow.

The Problem with Revitalization Districts

HB 2496 reforms revitalization district construction contracts by incorporating key protections from Arizona’s private prompt pay statute. The bill ensures that revitalization districts remain a viable financing tool while adding safeguards that ensure contractors are paid for their work.

Key Provisions of HB 2496

Contractors’ Right to Suspend or Terminate Work

  • Contractors may suspend or terminate construction if a revitalization district fails to make timely payment.
  • Seven days’ written notice is required.
  • Contractors exercising this right are not considered in breach of contract.

Subcontractor Payment Protections

  • Subcontractors may suspend or terminate work if:
    • The district fails to pay and the prime contractor does not pass payment down, or
    • The prime contractor fails to pay even after receiving funds.
  • Notice requirements range from three to seven days depending on circumstances.
  • Subcontractors are protected from being deemed in breach.

No Requirement to Resume Work Without Payment

  • Contractors and subcontractors are not required to provide additional labor or materials until they are paid for approved work.
  • Reasonable costs associated with shutting down and restarting work must also be covered.

Attorney Fees and Clear Notice Standards

  • The prevailing party in disputes under these provisions may recover reasonable attorney fees and costs.
  • Written notice must be delivered in person or by a method with third-party verification.
